Open Tool Wall Partner Commerce License (OPCL)

1. Purpose

The OTW Partner Commerce License (OPCL) enables approved commercial partners to manufacture, distribute, and sell products derived from or compatible with the Open Tool Wall (OTW) system. This license establishes the commercial terms and standards required for participation in the OTW ecosystem, while maintaining attribution, quality, and fairness to creators and the community.


2. License Grant

Upon approval and payment of applicable fees, the OTW Program grants the Partner a non-exclusive, time-limited commercial license to:

  • Manufacture, market, and sell OTW-compatible tools, accessories, and derivative products.
  • Use, reproduce, and adapt OTW design files and related intellectual property for commercial purposes, subject to compliance with OTW standards and attribution requirements.

This license does not transfer ownership of the original OTW files or trademarks.


3. Term and Renewal

  • The OPCL is valid for one (1) year from the date of issuance.
  • Renewal is available upon review and payment of the renewal fee.
  • Continued use or sale of OTW designs after expiration without renewal constitutes unlicensed commercial activity.

4. Standards and Compliance

Licensed partners must:

  • Adhere to OTW design and compatibility standards, ensuring interoperability with the OTW system.
  • Maintain verified production quality, including fit and material integrity consistent with tested OTW specifications.
  • Use only authentic, tested OTW-certified files for production.
  • Submit to random compliance checks or audits by OTW representatives.

5. Attribution

All licensed products must include visible attribution:

“Compatible with the Open Tool Wall System — used under the OTW Partner Commerce License (OPCL).”

Digital listings, packaging, and documentation must include this notice, along with a link to the OTW program website.


6. Creator Compensation

Where applicable, royalties collected by OTW are shared with registered creators in accordance with OTW’s creator participation policy. Creators retain moral rights to attribution but grant OTW the right to sub-license their work commercially under the OPCL framework.


7. Restrictions

Partners may not:

  • Resell or redistribute OTW files in raw digital form.
  • Misrepresent compatibility or origin of unlicensed designs.
  • Apply OTW branding, marks, or trademarks beyond the approved attribution statement.
  • Circumvent OTW’s testing, verification, or royalty processes.

Violation of these restrictions may result in immediate termination of the license.


8. Termination

OTW may terminate the license for:

  • Non-payment of fees or royalties.
  • Breach of quality or attribution standards.
  • Misuse of intellectual property or branding.
    Upon termination, all use and sale of OTW designs or derivatives must cease immediately.

9. Limitation of Liability

The OTW Program makes no warranty regarding the performance or marketability of licensed products. Licensees assume all responsibility for safety, compliance, and local regulatory obligations.


10. Governing Law

This License is governed by the laws of the jurisdiction in which the OTW Program is registered. Disputes shall be resolved through binding arbitration under the OTW Commercial Arbitration Framework.


11. Acknowledgment

By entering into the OPCL, the Partner acknowledges:

  • Understanding of the license terms;
  • Agreement to comply with OTW’s open and commercial standards;
  • Recognition that this license is separate from the community “free-to-use” OTW License and applies exclusively to commercial use.
