Definitions
For purposes of this Agreement:
- “Files†shall mean all digital design files provided under the OTW License, including CAD, STL, STEP, or other formats, whether created by OTW or submitted by Contributors.
- “Parts†shall mean all physical objects manufactured, printed, or otherwise derived from Files, including those based on Contributor submissions.
- “Official†shall refer to designs created and released by OTW.
- “Partner†shall mean any entity granted a valid Partner License by OTW authorizing commercial production of Parts.
- “Sponsor†shall mean any entity providing financial support to OTW without commercial rights to manufacture Parts.
- “Contributor†shall mean any individual or entity that submits a File or Derivative Work to OTW.
- “Commercial Use†shall mean the manufacture, sale, licensing, or distribution of Files or Parts for monetary or other valuable consideration.
- “Non-Commercial Use†shall mean use by individuals or entities for personal, educational, hobbyist, or internal organizational purposes without sale or distribution.
- “Derivative Work†shall mean any file, design, or part modified, adapted, or otherwise based on OTW Files, whether the underlying File originated from OTW or a Contributor.
- “Sublicense†shall mean any grant by a Licensee or Partner to a third party of rights to use, produce, or distribute OTW Files or Parts. All sublicensing is expressly prohibited.
- “Files†means all OTW design files, whether released by OTW or submitted by Contributors.
- “Parts†means any physical object manufactured from OTW Files, whether official or contributed.
- “Official†means designs released directly by OTW.
- “Partner†means a licensed manufacturer authorized to produce and sell OTW Parts.
- “Sponsor†means a company or individual who supports OTW financially without manufacturing rights.
- “Contributor†means anyone who submits files, remixes, or derivatives to OTW.
- “Commercial Use†means selling OTW Parts, charging for access to OTW Files, or otherwise making money with them.
- “Non-Commercial Use†means personal, hobbyist, educational, or internal company use without profit.
- “Derivative Work†means any remix, adaptation, or modification of OTW Files, whether by OTW or Contributors.
- “Sublicense†means giving another party rights to OTW Files or Parts that you were licensed, which is strictly prohibited under this Agreement.
Intellectual Property Ownership
All OTW Official Files, logos, trademarks, and brand assets are and shall remain the exclusive property of OTW. All Contributor submissions shall be deemed Derivative Works of OTW’s base designs. Contributors retain ownership of their Contributions for purposes of attribution and non-commercial use, but grant OTW a perpetual, worldwide license to use and distribute such Contributions under the OTW License. All commercial rights are reserved to OTW. No provision of this Agreement transfers ownership of OTW intellectual property to any third party.
OTW owns all official files, trademarks, and logos.
Contributors own their submissions but agree those are derivative works of OTW designs.
Contributors can use their designs non-commercially, but commercial rights stay with OTW.
Contributor Agreement
All Contributor submissions to OTW shall be deemed Derivative Works of OTW’s base designs, regardless of the extent of modification. Contributor warrants that they own or control all rights to their submission and that it does not infringe third-party rights. Contributor retains authorship of their submission for purposes of attribution and personal/non-commercial use. Contributor grants OTW a worldwide, perpetual, irrevocable license to use, reproduce, and distribute Contributions under the OTW License. Contributor acknowledges and agrees that OTW shall hold the exclusive right to authorize any commercial licensing of such Derivative Works, including authorization of Partner Licenses. Contributors do not grant Partners or Sponsors the right to further sublicense Contributions. Contributor waives any claim to independent commercial exploitation of Contributions outside the OTW License.
When you upload a file:
- It must be your own work.
- Your upload is considered a derivative work of OTW’s base designs.
- You give OTW permission to share it under the OTW License.
- It must remain free for personal use.
- OTW may approve it for commercial licensing (with optional bounty or share).
- You will always be credited.
- Only OTW can authorize commercial use. Your Contribution cannot be sublicensed by anyone else.
- You retain the right to use and share your Contribution personally for non-commercial purposes.
Partner Agreement
Partner Licenses granted by OTW are personal, non-transferable, and non-sublicensable. Partners may manufacture OTW Parts only under their own direct control. Use of subcontractors requires a separate written agreement with OTW. Partner Licenses are valid for one year and must be renewed annually. OTW may revoke a Partner License upon breach of these terms, including but not limited to quality failures, misrepresentation, or unauthorized sublicensing.
- A Partner License lets you make and sell OTW parts.
- It only applies to you — you can’t transfer it, share it, or sublicense it.
- You must keep quality consistent with OTW standards.
- Your license lasts one year and must be renewed.
- OTW can revoke the license if you break the rules.
Sponsor Agreement
Sponsorship does not grant rights to manufacture, distribute, or sell OTW Files or Parts. Sponsors may, for the duration of an active sponsorship, display OTW Sponsor marks and may include the Sponsor version of the OTW logo on digital files or parts uploaded to the OTW platform. Sponsorship renews automatically on a monthly basis, subject to timely payment. Sponsorship rights automatically terminate upon cancellation, non-payment, expiration of the term, or revocation by OTW for breach. Sponsorship is limited to recognition and brand use rights as defined herein and conveys no license to OTW intellectual property beyond those expressly authorized.
- Sponsors support OTW financially.
- Sponsors don’t get manufacturing rights.
- Sponsors may display the OTW Sponsor badge/logo.
- Sponsors may include the Sponsor version of the OTW logo on parts they upload to OTW for as long as their sponsorship is active.
- Sponsorships renew monthly. If you stop sponsoring, your right to use the logo ends immediately.
- OTW can revoke a sponsorship if rules are broken.
Quality Standards
Partners shall manufacture OTW Parts in accordance with OTW specifications to ensure compatibility with the OTW ecosystem. Partners shall maintain reasonable quality standards, including dimensional accuracy, material safety, and compliance with applicable laws. Sponsors may use OTW Sponsor marks only in compliance with OTW brand guidelines. OTW reserves the right to inspect, review, and enforce compliance with these standards.
- Partners must produce parts that remain compatible with OTW systems.
- Parts must be safe, accurate, and not falsely marketed.
- Sponsors using the logo must follow OTW brand rules.
Terms of Use
Use of the OTW website and Files constitutes acceptance of these Terms of Use. Files are provided “as is,†without warranties of any kind. OTW disclaims all liability for damages. The OTW name, logo, and marks are protected intellectual property. Unauthorized use is prohibited.

- OTW isn’t responsible if something breaks, fails, or causes damage.
- Respect OTW’s trademarks.
Terms of Service
Users agree to provide accurate information, maintain confidentiality of credentials, and comply with these Terms. Partner licensing requires a valid agreement and timely payment. OTW may suspend or terminate accounts for violation. All fees are non-refundable except as required by law.

E-Commerce Terms
All purchases conducted via the OTW website, including Partner Licenses, Sponsor Licenses, and OTW merchandise, are subject to the terms of this Agreement and the OTW License. Payment is handled by third-party processors (including but not limited to Stripe and PayPal). Taxes and shipping charges may apply. Merchandise orders shall be processed and shipped within reasonable commercial timeframes, subject to availability. OTW shall provide reasonable customer support for transactions but disclaims any warranty, replacement, or repair obligation beyond that required by applicable law. Purchases are personal, non-transferable, and non-sublicensable. No rights beyond those expressly granted are conveyed by an e-commerce transaction.
- All purchases, including licenses and OTW merchandise, are processed through Stripe, PayPal, or other providers.
- Taxes and shipping may apply.
- Merch orders will be shipped within reasonable processing times.
- Support is available for issues with orders, but OTW makes no guarantee of replacement or repair beyond what’s required by law.
- Buying a license or merch does not give you rights beyond what is stated in this Agreement.
Shipping and Support
All purchases conducted via the OTW website, including Partner and Sponsor Licenses, are subject to the terms of this Agreement and the OTW License. Such licenses are personal, non-transferable, and non-sublicensable. No rights beyond those expressly granted are conveyed by an e-commerce transaction.

- OTW isn’t responsible for delays caused by carriers.
- Contact support for lost or damaged orders; we’ll help where possible, but replacements are not guaranteed.
Refund Policy
All license and sponsorship fees are non-refundable, except where required by law.

Community Guidelines
Users agree not to harass, threaten, or abuse others; not to post unlawful or obscene content; not to upload unrelated material; and not to spam. OTW reserves the right to remove content and suspend accounts at its discretion.

- Uploads should be OTW-related.
- Moderators may remove content or ban accounts.
Privacy Policy
OTW collects registration, payment, analytics, and newsletter data in compliance with GDPR and CCPA. OTW does not sell personal data. Data may be shared with third-party processors (Stripe, PayPal, AWS, Google). Users may request access, correction, or deletion by contacting OTW.

DMCA Policy
OTW complies with the DMCA (17 U.S.C. §512). Notices of claimed infringement must be submitted to OTW’s designated agent. Counter-notices may be submitted under §512(g). OTW may remove or restore content upon proper notice.

Liability Waiver
OTW disclaims all liability for damages, injuries, or losses resulting from the use of OTW Files or Parts. Users assume all risks.

Export Control and Legal Compliance
Users agree not to use OTW Files or Parts in violation of applicable law, including export control, trade sanction, and embargo regulations. Users outside the United States are solely responsible for compliance with their local laws and regulations. OTW disclaims all liability for unlawful use of its Files or Parts.

Termination and Cure Period

Indemnification
Users agree to indemnify, defend, and hold harmless OTW, its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from their use of Files or Parts, including misuse, violation of laws, or infringement of third-party rights.
- If you misuse OTW designs and get into trouble, you can’t drag us into it.
Jurisdiction
This Agreement is governed by the laws of the State of Florida, USA, without regard to conflicts of laws principles. All disputes shall be resolved in Florida state or federal courts. Users outside the U.S. are responsible for compliance with local laws.

Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- If one part of these terms is invalid, the rest still apply.
Entire Agreement
These terms constitute the entire agreement between you and OTW and supersede all prior agreements or understandings, written or oral.

Controlling Version
The provisions are presented in both Plain English and Legal Style. The Plain English summaries are for convenience only. In the event of conflict, the Legal Style terms govern and control.
- We’ve included both Plain English and Legal Style versions. If there’s ever a conflict, the Legal Style version is the binding one.
Incorporation Clause
Until OTW is formally incorporated as a legal entity, all references to OTW herein shall refer to its founder, Alex Holladay, acting in his individual capacity. Upon incorporation of OTW as a legal entity, all rights and obligations under this Agreement shall automatically transfer to such entity without further action required by any party.

- When OTW incorporates, everything transfers automatically.
