All Open Tool Wall Official Files, logos, trademarks, and brand assets are and shall remain the exclusive property of Open Tool Wall. All Contributor submissions shall be deemed Derivative Works of Open Tool Wall’s base designs. Contributors retain ownership of their Contributions for purposes of attribution and non-commercial use, but grant Open Tool Wall a perpetual, worldwide license to use and distribute such Contributions under the Open Tool Wall License. All commercial rights are reserved to Open Tool Wall. No provision of this Agreement transfers ownership of Open Tool Wall intellectual property to any third party.

Open Tool Wall owns all official files, trademarks, and logos.

Contributors own their submissions but agree those are derivative works of Open Tool Wall designs.

Contributors can use their designs non-commercially, but commercial rights stay with Open Tool Wall.

All Contributor submissions to Open Tool Wall shall be deemed Derivative Works of Open Tool Wall’s base designs, regardless of the extent of modification. Contributor warrants that they own or control all rights to their submission and that it does not infringe third-party rights. Contributor retains authorship of their submission for purposes of attribution and personal/non-commercial use. Contributor grants Open Tool Wall a worldwide, perpetual, irrevocable license to use, reproduce, and distribute Contributions under the Open Tool Wall License. Contributor acknowledges and agrees that Open Tool Wall shall hold the exclusive right to authorize any commercial licensing of such Derivative Works, including authorization of Partner Licenses. Contributors do not grant Partners or Sponsors the right to further sublicense Contributions. Contributor waives any claim to independent commercial exploitation of Contributions outside the Open Tool Wall License.

When you upload a file:

• It must be your own work.
• Your upload is considered a derivative work of Open Tool Wall’s base designs.
• You give Open Tool Wall permission to share it under the Open Tool Wall License.
• It must remain free for personal use.
• Open Tool Wall may approve it for commercial licensing (with optional bounty or share).
• You will always be credited.
• Only Open Tool Wall can authorize commercial use. Your Contribution cannot be sublicensed by anyone else.
• You retain the right to use and share your Contribution personally for non-commercial purposes.

Open Tool Wall Partner Commerce Licenses (OPCL) granted by Open Tool Wall are personal, non-transferable, and non-sublicensable. Partners may manufacture Open Tool Wall Parts only under their own direct control. Use of subcontractors requires a separate written agreement with Open Tool Wall. Partner Licenses are valid for one year and must be renewed annually. Open Tool Wall may revoke a Partner License upon breach of these terms, including but not limited to quality failures, misrepresentation, or unauthorized sublicensing.

• An Open Tool Wall Partner Commerce License (OPCL) lets you make and sell Open Tool Wall parts.
• It only applies to you — you can’t transfer it, share it, or sublicense it.
• You must keep quality consistent with Open Tool Wall standards.
• Your license lasts one year and must be renewed.
• Open Tool Wall can revoke the license if you break the rules.

Sponsorship does not grant rights to manufacture, distribute, or sell Open Tool Wall Files or Parts. Sponsors may, for the duration of an active sponsorship, display Open Tool Wall Sponsor marks and may include the Sponsor version of the Open Tool Wall logo on digital files or parts uploaded to the Open Tool Wall platform. Sponsorship renews automatically on a monthly basis, subject to timely payment. Sponsorship rights automatically terminate upon cancellation, non-payment, expiration of the term, or revocation by Open Tool Wall for breach. Sponsorship is limited to recognition and brand use rights as defined herein and conveys no license to Open Tool Wall intellectual property beyond those expressly authorized.

• Sponsors support Open Tool Wall financially.
• Sponsors don’t get manufacturing rights.
• Sponsors may display the Open Tool Wall Sponsor badge/logo.
• Sponsors may include the Sponsor version of the Open Tool Wall logo on parts they upload to Open Tool Wall for as long as their sponsorship is active.
• Sponsorships renew monthly. If you stop sponsoring, your right to use the logo ends immediately.
• Open Tool Wall can revoke a sponsorship if rules are broken.

Partners shall manufacture Open Tool Wall Parts in accordance with Open Tool Wall specifications to ensure compatibility with the Open Tool Wall ecosystem. Partners shall maintain reasonable quality standards, including dimensional accuracy, material safety, and compliance with applicable laws. Sponsors may use Open Tool Wall Sponsor marks only in compliance with Open Tool Wall brand guidelines. Open Tool Wall reserves the right to inspect, review, and enforce compliance with these standards.

• Partners must produce parts that remain compatible with Open Tool Wall systems.
• Parts must be safe, accurate, and not falsely marketed.
• Sponsors using the logo must follow Open Tool Wall brand rules.

Use of the Open Tool Wall website and Files constitutes acceptance of these Terms of Use. Files are provided “as is,” without warranties of any kind. Open Tool Wall disclaims all liability for damages. The Open Tool Wall name, logo, and marks are protected intellectual property. Unauthorized use is prohibited.

• You can browse and download freely.
• Files are provided “as is,” with no guarantees.
• Open Tool Wall isn’t responsible if something breaks, fails, or causes damage.
• Respect Open Tool Wall’s trademarks.

Users agree to provide accurate information, maintain confidentiality of credentials, and comply with these Terms. Partner licensing requires a valid agreement and timely payment. Open Tool Wall may suspend or terminate accounts for violation. All fees are non-refundable except as required by law.

• You may need an account.
• Keep your login safe.
• Partners and Sponsors need valid agreements.
• We may suspend or terminate accounts if rules are broken.
• Payments must be completed to keep licenses active.

All purchases conducted via the Open Tool Wall website, including Partner Licenses, Sponsor Licenses, and Open Tool Wall merchandise, are subject to the terms of this Agreement and the Open Tool Wall License. Payment is handled by third-party processors (including but not limited to Stripe). Taxes and shipping charges may apply. Merchandise orders shall be processed and shipped within reasonable commercial timeframes, subject to availability. Open Tool Wall shall provide reasonable customer support for transactions but disclaims any warranty, replacement, or repair obligation beyond that required by applicable law. Purchases are personal, non-transferable, and non-sublicensable. No rights beyond those expressly granted are conveyed by an e-commerce transaction.

• All purchases, including licenses and Open Tool Wall merchandise, are processed through Stripe or other providers.
• Taxes and shipping may apply.
• Merch orders will be shipped within reasonable processing times.
• Support is available for issues with orders, but Open Tool Wall makes no guarantee of replacement or repair beyond what’s required by law.
• Buying a license or merch does not give you rights beyond what is stated in this Agreement.

Physical products are made to order and shipped to the address provided at checkout, within reasonable commercial timeframes and subject to availability. Shipping times vary by destination and carrier. Open Tool Wall is not responsible for delays, loss, or damage caused by carriers once an order has shipped. For orders that arrive damaged, defective, or incorrect, the buyer should contact Open Tool Wall support, and Open Tool Wall will provide a reasonable remedy as set out in the Refund Policy.

• We ship merch to the address you provide.
• Shipping times may vary by location.
• Open Tool Wall isn’t responsible for delays caused by carriers.
• Contact support for lost or damaged orders; we’ll help where possible, but replacements are not guaranteed.

License and sponsorship fees are non-refundable except where required by law. Physical products sold through the Open Tool Wall shop are custom-manufactured (made to order). If a product arrives damaged or defective, or an order is incorrect, the buyer may request a refund or replacement by contacting Open Tool Wall within thirty (30) days of delivery; Open Tool Wall may request photographic evidence and, at its option, return of the item. Because products are made to order, Open Tool Wall is not obligated to accept returns for change of mind or for buyer selection errors (such as an incorrect size, material, or configuration chosen at checkout), except where required by law. Approved refunds are issued to the original payment method through the original processor. Digital design files are provided free under the Open Tool Wall License and are not sold.

• License and sponsorship fees are not refundable (unless the law says otherwise).
• Shop products are made to order.
• If your order arrives damaged, defective, or wrong, contact us within 30 days for a refund or replacement.
• Since items are custom-made, we generally cannot refund change-of-mind or wrong-option orders, except where the law requires it.
• Approved refunds go back to your original payment method.

Users agree not to harass, threaten, or abuse others; not to post unlawful or obscene content; not to upload unrelated material; and not to spam. Open Tool Wall reserves the right to remove content and suspend accounts at its discretion.

• Be respectful.
• No spam, harassment, hate speech, or illegal uploads.
• Uploads should be Open Tool Wall-related.
• Moderators may remove content or ban accounts.

Open Tool Wall collects registration, payment, analytics, and newsletter data in compliance with GDPR and CCPA. Open Tool Wall does not sell personal data. Data may be shared with third-party processors (Stripe, AWS, Google). Users may request access, correction, or deletion by contacting Open Tool Wall.

• We collect account info, payment data, analytics, and newsletter signups.
• We don’t sell your data.
• You can request access, updates, or deletion.

Open Tool Wall uses cookies and similar technologies that are necessary for the website to function, including a session cookie that keeps you logged in and holds your shopping cart, and may use limited analytics cookies to understand how the site is used. Open Tool Wall does not use cookies to sell personal data. You can block or delete cookies in your browser settings, though doing so may prevent logging in or completing a purchase. Payment is handled by our processor, Stripe, which may set its own cookies under its own privacy policy.

• We use essential cookies to keep you logged in and remember your cart.
• We may use basic analytics to see how the site is used.
• We do not use cookies to sell your data.
• You can block cookies in your browser, but some features (login, checkout) may stop working.

Open Tool Wall complies with the DMCA (17 U.S.C. §512). Notices of claimed infringement must be submitted to Open Tool Wall’s designated agent. Counter-notices may be submitted under §512(g). Open Tool Wall may remove or restore content upon proper notice.

• If you think your copyright is infringed, send a DMCA notice.
• If content is removed in error, file a counter-notice.
• We follow U.S. DMCA rules.

Open Tool Wall disclaims all liability for damages, injuries, or losses resulting from the use of Open Tool Wall Files or Parts. Users assume all risks.

• Use Open Tool Wall files and parts at your own risk.
• We are not responsible for injury, damage, or loss.

Users agree not to use Open Tool Wall Files or Parts in violation of applicable law, including export control, trade sanction, and embargo regulations. Users outside the United States are solely responsible for compliance with their local laws and regulations. Open Tool Wall disclaims all liability for unlawful use of its Files or Parts.

• You must follow the law when using Open Tool Wall designs.
• Don’t use Open Tool Wall files or parts for illegal or restricted activities.
• You are responsible for following your country’s laws.

Open Tool Wall may suspend or terminate any account, license, or access to Files for breach of this Agreement, non-payment, or misuse of Open Tool Wall intellectual property. Except in cases of unlawful conduct, safety risk, or intellectual-property infringement, which may be acted upon immediately, Open Tool Wall will give written notice describing the breach and a cure period of thirty (30) days from the date of notice in which the party may remedy it. If the breach is not cured within that period, the affected account or license may be terminated. Rights granted to end users under the Open Tool Wall License for Works already released are perpetual and survive termination.

• We can suspend or end an account or license for breaking these terms, not paying, or misusing Open Tool Wall property.
• For most problems we give written notice and 30 days to fix it before terminating.
• Serious cases (illegal activity, safety risks, or infringement) can be acted on immediately.
• Files already released stay free to use under the Open Tool Wall License, even after a termination.

Users agree to indemnify, defend, and hold harmless Open Tool Wall, its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from their use of Files or Parts, including misuse, violation of laws, or infringement of third-party rights.

• If you misuse Open Tool Wall designs and get into trouble, you can’t drag us into it.

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflicts of laws principles. All disputes shall be resolved in Florida state or federal courts. Users outside the U.S. are responsible for compliance with local laws.

• Disputes go to Florida courts.

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

• If one part of these terms is invalid, the rest still apply.

These terms constitute the entire agreement between you and Open Tool Wall and supersede all prior agreements or understandings, written or oral.

• This is the complete agreement. Other FAQs, posts, or side chats don’t override it.

The provisions are presented in both Plain English and Legal Style. The Plain English summaries are for convenience only. In the event of conflict, the Legal Style terms govern and control.

• We’ve included both Plain English and Legal Style versions. If there’s ever a conflict, the Legal Style version is the binding one.

“Open Tool Wall” is a registered fictitious name owned and operated by Corpus Obscura Inc., a Florida corporation. All references to “Open Tool Wall,” the “Open Tool Wall Program,” or “we” in this Agreement shall mean Corpus Obscura Inc. and its successors and assigns, which holds all rights, obligations, and intellectual property described herein.

• “Open Tool Wall” is a registered business name (a DBA) owned by Corpus Obscura Inc., a Florida corporation.
• Wherever this says “Open Tool Wall,” it means Corpus Obscura Inc.
